1. Acceptance of Terms

These Terms form a legally binding agreement between you and Growth With Tech.
By engaging with our Services, you confirm that you have read, understood, and agree to these Terms, as well as any project proposal, quotation, or service agreement executed between you and Growth With Tech.

2. Services Provided

Growth With Tech provides various digital and IT solutions, including:

• Website design and development

• SEO (Search Engine Optimization)

• Digital marketing and PPC advertising

• Social media management

• Content creation and branding

• Online business consultation

The specific services, deliverables, timelines, and pricing will be defined in a written proposal, quotation, or agreement mutually approved by both parties.

3. Client Responsibilities

The Client agrees to:

Provide Timely Information: Supply all necessary details, materials, and access credentials (e.g., website logins, ad accounts, etc.) required for Growth With Tech to deliver the Services effectively and on time.

Review and Approval: Review and provide feedback or approvals for deliverables promptly to prevent project delays.

Cooperation: Work collaboratively with our team throughout the project duration.

Accuracy of Information: Ensure that all information shared is accurate, lawful, and does not violate any third-party rights.

Payment: Make payments according to the timelines and terms mentioned in the invoice or agreement.

4. Payment Terms

Fees: All service fees are clearly mentioned in the quotation, invoice, or service agreement.

Invoicing: Invoices will be issued as per the agreed milestones or schedule.

Payment Due Date: Payments must be completed within 7 calendar days from the date of invoice, unless otherwise stated.

Late Payments: Delayed payments may attract a 5% late fee per month or the maximum allowed by law. Services may be suspended or terminated in case of non-payment.

Taxes: All fees are exclusive of applicable taxes (e.g., GST). Taxes will be added as required by Indian law.

5. Intellectual Property

Client Content: All content, logos, and data provided by the Client remain the Client’s property. The Client grants Growth With Tech a limited license to use these materials solely for the execution of the Services.

Deliverables: Upon full payment:

• The Client owns the final website, software, or creative assets developed exclusively for them.

• Growth With Tech retains ownership of its pre-existing tools, templates, frameworks, or reusable code components used during the project.

Portfolio Use: Unless otherwise requested in writing, Growth With Tech may showcase completed projects and client testimonials in its portfolio, marketing materials, or website.

6. Confidentiality

Both parties agree to maintain confidentiality regarding all non-public business, technical, or financial information shared during the project. This obligation remains valid even after the termination of the Services.

7. Warranties and Disclaimers

Growth With Tech Warranties: We ensure our Services are delivered professionally, following industry standards and best practices.

Client Warranties: The Client confirms they hold all necessary rights and permissions for the content and data provided.

Disclaimer: Except as expressly stated, Growth With Tech makes no warranties regarding specific results such as rankings, traffic, or sales. Digital performance depends on multiple external factors beyond our control.

8. Limitation of Liability

To the fullest extent permitted by law, Growth With Tech shall not be liable for:

• Any indirect, incidental, or consequential damages.

• Loss of profits, data, goodwill, or business opportunities.

• Third-party service failures (e.g., hosting, ad platforms, social media APIs).

Our total liability under these Terms will not exceed the total fees paid by the Client for the specific project within the six (6) months preceding the claim.

9. Indemnification

The Client agrees to indemnify and hold Growth With Tech, its employees, and representatives harmless against all claims, damages, or expenses arising from:

• Violation of these Terms,

• Misuse of the Services, or

• Infringement of third-party rights due to Client-provided materials or actions.

10. Term and Termination

Term: These Terms take effect from the date the Client begins using our Services and remain in force until terminated.

Termination by Client: Clients may terminate services as per the project agreement. Deposits or payments made for work already completed are non-refundable.

Termination by Growth With Tech: We reserve the right to suspend or terminate Services without notice in case of violation of these Terms or non-payment.

Effect of Termination: Upon termination, all outstanding payments become immediately due. Certain clauses like confidentiality, IP rights, and limitation of liability shall survive termination.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes shall fall under the exclusive jurisdiction of the courts in New Delhi, India.

12. Miscellaneous

Entire Agreement: These Terms, along with any signed service agreements, represent the entire agreement between the Client and Growth With Tech.

Severability: If any provision is found invalid, the remaining provisions remain enforceable.

Waiver: Failure to enforce any part of these Terms shall not be deemed a waiver of any rights.

Amendments: Growth With Tech may update these Terms from time to time. Updates will be posted on our website, and continued use of Services constitutes acceptance of the revised Terms.

Force Majeure: Neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control, such as natural disasters, wars, or technical outages.
